Terms of Service
Last updated: September 10, 2026
These Terms of Service ("Terms") govern the services provided by Kelymag Business Services ("Kelymag", "we", "us") to its clients ("you", "Client"). By requesting or receiving services from Kelymag, or by paying an invoice or subscription, you agree to these Terms. Your signed Service Agreement, where one exists, takes precedence over these Terms where they differ.
1. Services
Kelymag provides professional back-office services to businesses, including bookkeeping, payroll processing support, and office/administrative support. The specific scope, deliverables and monthly package for each Client are described in the Client's written proposal and Service Agreement.
Kelymag is not a certified public accounting firm, law firm or financial advisor. Our services do not include tax advice, legal advice, audit or attestation services, or investment advice. You remain responsible for reviewing reports, for the accuracy and completeness of the information you provide, and for filing your own tax returns unless otherwise agreed in writing with a licensed professional.
2. Client responsibilities
- Provide timely, accurate and complete records, statements, receipts and access needed to perform the services.
- Review reports and statements we send and notify us of any error within 15 days.
- Keep a valid payment method on file and pay invoices when due.
- Maintain your own licenses, registrations, insurance and tax filings unless expressly included in your agreement.
3. Fees, billing and payment
Summary: monthly packages are billed in advance for the current month of service, charged automatically to the payment method on file under a signed recurring authorization. One-time projects are invoiced separately. Charges appear on your statement as KELYMAG SERVICES.
- Monthly packages. Fees are stated in your proposal and Service Agreement. The monthly fee is billed in advance on the agreed billing day and covers that month of service.
- One-time work. Setup, catch-up, clean-up and project work are quoted in writing before starting and invoiced upon completion or per the agreed milestones.
- Payment methods. Payments are processed securely through Stripe by credit card, debit card or ACH bank transfer. Kelymag does not store full card numbers.
- Recurring authorization. By providing a payment method and signing our Recurring Card Authorization, you authorize Kelymag to charge the agreed monthly fee and any additional services you approve in writing (email included).
- Late or failed payments. If a payment is declined, we will notify you and ask for an updated payment method within 5 business days. Services may be paused until payment is received. Invoices unpaid after 15 days may accrue a late fee of 1.5% per month or the maximum permitted by law, whichever is lower.
- Price changes. We will give at least 30 days' written notice before changing a monthly fee.
4. Term, cancellation and refunds
- Month to month. Monthly packages continue month to month until cancelled.
- Cancellation. Either party may cancel with 30 days' written notice (email to kelymagservices@gmail.com is sufficient). Your final billing period is the 30-day notice period; work continues through that period.
- Refunds. Fees for services already performed are non-refundable. If Kelymag cancels a month of service before performing it, any prepaid fee for that month will be refunded. If you believe you were charged in error, contact us within 30 days of the charge and we will review and correct it promptly.
- Return of records. Upon cancellation and payment of any outstanding balance, we will return or provide access to your records and files within 15 business days.
5. Confidentiality
We treat your financial records, employee information and business documents as confidential. We use them only to perform the services, and we do not sell or share them with third parties except with service providers necessary to deliver the services (for example, payment processing, accounting software, secure cloud storage), or when required by law. See our Privacy Policy.
6. Access and security
Where you grant us access to bank feeds, accounting software, payroll platforms or other systems, you agree to provide access at the minimum level required (read-only or accountant access where available). We will keep credentials secure and remove our access when the engagement ends.
7. Limitation of liability
To the fullest extent permitted by law, Kelymag's total liability for any claim arising from the services is limited to the fees paid by the Client for the three (3) months preceding the event giving rise to the claim. Kelymag is not liable for indirect, incidental or consequential damages, or for penalties, interest or losses resulting from inaccurate or late information provided by the Client, or from decisions the Client makes based on reports we prepare.
8. Disputes
If you have a concern about a charge or our services, please contact us first at kelymagservices@gmail.com or (401) 519-5686; most issues are resolved within a few business days. These Terms are governed by the laws of the State of Rhode Island, and any dispute that cannot be resolved informally will be brought in the courts of Rhode Island.
9. Changes to these Terms
We may update these Terms from time to time. The current version is always available at kelymag.com/terms.html. Material changes will be communicated by email to active clients at least 30 days before they take effect.
